Our By-Laws

ARTICLE I:  MEMBERSHIP

Section A: ELIGIBILITY 

Any person who supports the purpose of B.A.D. is eligible for membership.

Section B: MEMBERSHIP 

Members in good standing shall be defined as those persons whose current dues have been paid in full. 

​

Section C: DUES 

Dues shall be payable annually based upon the month of initial membership. 

​

ARTICLE II: GOVERNING BOARD 

Section A: RESPONSIBILITY 

Management of this club shall be vested in a Governing Board (hereafter known as “the Board”) responsible to the entire membership to uphold these Bylaws.

​

Section B: MEMBERSHIP 

Board membership shall be composed of the Officers, the immediate Past President and the Kendall County Democratic Party Chair (as an ex officio member of the Board).

​

Section C: DUTIES 

The Board shall have the general power to manage the affairs of B.A.D., including financial transactions. Expenditures that exceed $500 require approval by a simple majority of members attending a business meeting at which the expenditure is considered.

​

Section D: TERM OF OFFICE 

The term of office for Board members shall be one year. Officers are limited to three (3) consecutive terms in one position unless otherwise approved by the Board.

Section E: BOARD MEETINGS 

The Board shall meet monthly prior to the general meeting at a time and place determined by the President.

​

Section F: VACANCY 

1. In the event a Board member resigns or otherwise fails to fulfill the duties of such board position, the remaining Board members shall appoint a replacement Board Member to serve out the remaining months of the term of office.

2. Any Board member who fails to attend three consecutive board meetings or Club meetings without just cause shall be replaced in accordance with this section. When leaving office, any Board member with official records in their possession shall turn over such records to the President in a timely manner.

 

Section G: COMPENSATION 

The Board shall receive no compensation for their services as board members.

ARTICLE III. OFFICERS 

Section A: OFFICERS 

Officers for B.A.D. shall be: President, Vice-President, Secretary, Treasurer, Membership Chair, Publicity Chair, and Webmaster/Social Media Chair.

 

Section B: DUTIES OF OFFICERS

1. PRESIDENT 

    The President shall preside over board and general meetings, collaborate with the Board members to create the agendas for board and general meetings, maintain joint signature authority along with the Treasurer and Secretary on all B.A.D. bank accounts, and perform other duties deemed necessary by the Board. The President shall be an ex-officio member of all committees except the Nominating Committee.

2. VICE-PRESIDENT 

    The Vice-President shall assume the duties of President in the event of the President’s absence or vacancy of office, coordinate fundraising, and perform other duties deemed necessary by the Board.

3. SECRETARY 

    The Secretary shall keep official agendas and minutes of board and general meetings, maintain joint signature authority along with the Treasurer and President on all B.A.D. bank accounts and perform other duties deemed necessary by the Board. The Secretary shall oversee the process for awarding the annual B.A.D. scholarship.

4. TREASURER 

    The Treasurer shall maintain timely financial records in compliance with all applicable rules and regulations. The Treasurer will also maintain joint signature authority with the President and Secretary on B.A.D. bank accounts, present financial reports to the membership, present all financial records to the Board for an annual audit, oversee income and record expenditures, and perform other duties deemed necessary by the Executive Board.
   Per FEC regulations, the treasurer must make a best effort to obtain and maintain (and ultimately report) the information required by law with respect itemized receipts and disbursements. The treasurer is responsible for keeping the required records of receipts and disbursements for three years from the filing date of the report to which they relate.

5. MEMBERSHIP CHAIR 

    The Membership Chair shall maintain membership name tags and sign-in sheets at each club meeting. The Membership chair shall coordinate with the Treasurer to maintain a current, complete database of the membership and is responsible for sending annual dues reminders to members.  The Club’s membership list shall be held and maintained only by officers of the Club; distribution of the membership list to any person or organization is prohibited except upon a majority vote of the Board. The Club’s email list will not be used for distribution of any information that is outside of Club activities.

6. PUBLICITY CHAIR 

    The Publicity Chair shall be responsible for the visibility of B.A.D. and shall contact multiple media
sources regarding B.A.D. activities to be publicized.

7. WEBMASTER/SOCIAL MEDIA CHAIR 

    The Webmaster/Social Media Chair shall be responsible for coordinating and overseeing the BAD website, Facebook page, and other social media.

 

ARTICLE IV. COMMITTEES 

Section A: AD HOC COMMITTEES 

The Board may appoint an Ad Hoc Committee as necessary. Functions of an Ad Hoc Committee shall be to plan and recommend to the Board policies and programs within their areas of responsibility. Committees shall also perform other duties as assigned by the Executive Board. Ad hoc committees will be dissolved after the completion of their task or achievement of their objective.

 

Section B: NOMINATING COMMITTEE 

The B.A.D. President shall appoint a Nominating Committee in September of each year to provide a slate of nominees as required by these Bylaws.

ARTICLE V. VOTING 

Section A: ELIGIBILITY 

Only persons who are members in good standing are eligible to vote. 

​

Section B: BOARD MEMBERS 

Except in those instances specified in the By-Laws, all decisions to be made by the Board shall be made by majority vote, provided at least a quorum is present. A quorum is defined as a simple majority of the Board. Absent Board members may use a proxy, provided such proxy is in writing or via email.

Section C: MEMBERS 

All decisions to be made by the membership shall be made by a majority vote of paid members present.

​

ARTICLE VI. AMENDMENTS 

These By-Laws may be amended at any monthly meeting by a majority of paid members present, provided notice has been given at least one month prior to the meeting.

ARTICLE VII. MEETINGS 

Section A: BUSINESS MEETINGS 

General business meetings shall be held monthly at a specified time and location. A holiday party may replace the December meeting and alternate events may replace other monthly meetings.

​

Section B: SPECIAL MEETING 

Special meetings may be called by the President with the approval of the Board.

​

Section C: QUORUM 

A quorum shall consist of a majority of the voting members present at the monthly business meeting.

​

Section D: PARLIAMENTARY AUTHORITY 

Robert’s Rules of Orders shall govern this club in all cases to which they are applicable.

 

ARTICLE VIII. DISSOLUTION 

In the event of the demise of B.A.D., all outstanding bills and obligations shall be paid in full, contracts shall be cancelled, Club obligations shall be fulfilled, and final reports shall be filed. The remaining monies in the treasury shall go to the Kendall County Democratic Party.
